1. Agreement to Terms
By accessing or using Caribbean Azure's website and services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.
2. Services
Caribbean Azure provides workflow automation solutions and CPQ/3D configurator development services for SMEs and manufacturers. All services are provided on a project or retainer basis as agreed upon in individual contracts.
3. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in deliverables created by Caribbean Azure remain our property until full payment is received. Upon full payment, agreed-upon rights will be transferred as specified in the project contract.
4. Limitation of Liability
Caribbean Azure shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
5. Payment Terms
Payment terms are specified in individual project contracts. Unless otherwise agreed, invoices are due within 30 days of issue. Late payments may incur interest charges as permitted by Dutch law.
6. Termination
Either party may terminate services as specified in the project contract. Upon termination, you must pay for all services rendered up to the termination date.
7. Governing Law
These terms are governed by Dutch law. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the Dutch courts.
